
Corporate Lawyer ? Become Legal Counsel - Small Holding, 34 Days Off

- As Legal Counsel, you will be involved in any operations and transactions that may occur, such as acquisitions or restructurings for example. You will also take on the draft and review of shareholder and partnership agreements, legal opinions, loan agreements, side letters and so on.
- You will participate in the investment process by following up proxies, ensuring KYC requirements and other authorizations are legally respected and in order, and you liaise will all involved parties such as notaries and banks.
- You will work closely with another Senior Legal Counsel who has vast experience in Luxembourg, including within law firms, so they will happily share all of their acquired skills with you.
- Though most corporate secretary matters are handled by a service provider (such as the organization of board meetings or publications on the trade register), you will liaise with them and will also be involved in some corporate governance matters.
- You are open to travelling 4 days monthly abroad, for which all expenses are of course paid by the Holding. This allows for great teamwork with the foreign office and a well-organized planning.
- The candidate for this role should have at least 2 years of experience in a Law Firm in Luxembourg (Associate Corporate/M&A ideally) or as Legal Counsel in a Holding Company or similar.
- A Master’s degree in Law is asked. Having obtained this degree in France, will be considered a plus.
- You should possess excellent French and English language skills. Though the environment is mainly French-speaking and business communications are in French, fluency in English is necessary in order to handle transactions and documentation effectively.
- Additionally, you should demonstrate strong organizational skills and you have a real sense of rigor.
- Discretion is also a must taking into account the family you will be in contact with, and the good reputation of the company.
