- Planning and executing meetings for the board of directors (the “BOD”) and committees for the Cayman subsidiaries (GFTC/MTC), as well as coordinating to ensure that all resolutions are implemented.
- Preparing and keeping important documents of GFTC/MTC (e.g. various organization documents, agreements, licensing certificates, regulatory filing documents).
- Assisting GFTC/MTC directors to perform annual duties.
- Ensuring the compliance of the BOD of GFTC/MTC with the relevant laws & regulations, resolutions of the board and corporate governance practices within Nomura Group.
- Drafting and reviewing GFTC/MTC’s corporate governance policies and procedures. Controlling NBL polices applicable to GFTC/MTC.
- Annually performing risk assessment and due diligence of outsourced service providers.
- Collecting the key performance indicator (“KPI”) from outsourced service providers.
- Identifying, analysing, and advising the BOD on key matters of regulatory and statutory importance (mainly Cayman Island laws and regulations).
- Preparing various regulatory reporting to Cayman authorities.
- Supporting GFTC/MTC directors to perform regulatory inspections.
- Performing various regular projects within NBL (e.g. annual risk and control self-assessment (RSCA), annual business process review under the Luxembourg regulation, business continuity planning).
- Conducting the risk assessment of the third-party service providers (e.g. external law firms)
- Dealing with various invoices from the third parties.
- Handling various projects within NBL (e.g. new system enhancement, fund data management).
- Assist the team members to perform certain fund projects (setting up, restructuring and termination of funds).
- Drafting legal documents for investment fund set-up, restructuring and liquidation in co-ordination with promoters, investment managers, other stakeholders and external lawyers
- Performing all necessary activities in relation to the above including, but not limited to meeting participation, conference calls, review and execution of legal documents
- Communication and coordination with various departments within NBL
- Safekeeping of original documents and database maintenance
- Studies in Law (preferably in Luxembourg and/or in a common law jurisdiction). Bar admission is a plus
- First fund legal experience as a law firm lawyer or as an in-house counsel at a financial institution
- Familiarity with financial regulations applicable in Luxembourg
- Good understanding of investment fund regulations, structures and procedures for set-ups / restructuring, especially in relation to Cayman Islands - and Luxembourg-domiciled funds
- General knowledge of company secretary functions for investment funds, trustee company and management company and/or for credit institutions
- Excellent command of English, both spoken and written. French is a plus
- Good legal drafting and analytical skills; attention to details
- Sound judgment in compliance with laws and regulations as well as common sense and commercial reasonability
- Responsiveness with regard to the assigned daily work and to various external and internal requests and inquiries
- Self-starter with stress resilience and hands-on approach
- Good communication skills, open-mindedness, and flexibility to adapt to an international and multicultural office environment
