Position SummaryPosition SummaryThe Team Co-Lead for the Global Credit Fund legal Team, working closely in partnership with the Finance Co-Lead will be jointly responsible for the day-to-day oversight and management of all investments and entities within the Carlyle Global Credit Luxembourg Platform and HR responsibilities for their teams. This will include:
  • Act as a collaborative co-lead, jointly managing the overall performance, direction, and development of the Luxembourg platform across legal and finance functions
  • Build and maintain strong relationships with Carlyle Global Credit Fund Management, Operations, and Deal Teams to support the establishment, structuring, and ongoing management of investment entities
  • Serve as a Manager of various Luxembourg based entities used to facilitate investments within the Carlyle Global Credit Luxembourg Platform
  • Oversee all legal and corporate governance aspects related to deal activity, including:
· Entity setup and organization· Transaction execution· Investment approvals· Lifecycle investment management· Exit processes
  • Review all Platform related documentation from a Luxembourg legal perspective, advise on loan agreements / NAV and financing transactions, and ensure adequate actions and steps are implemented accordingly
  • Analyze legal issues impacting the Platform, providing strategic guidance and actionable solutions
  • Lead the Carlyle Global Credit Luxembourg legal team, ensuring alignment with Platform goals and maintaining high standards of performance and collaboration
  • Coordinate with the AIFM and other internal teams (including KYC and tax teams) to ensure smooth integration of legal and regulatory processes
  • Manage ongoing corporate governance and entity management including ad hoc and quarterly boards, legal governance, regulatory compliance, ensuring compliance with company procedures and constitutive documents, and
  • Supervise external legal advisors and service providers, ensuring quality delivery, cost control, and compliance with Carlyle standards
ResponsibilitiesResponsibilities and Duties:Joint team leadership:
  • Partner with the Finance Co-Lead in managing the day-to-day operations of the Carlyle Global Credit Luxembourg Platform.
  • Share responsibility for team leadership, resource planning, strategic coordination, and HR management
  • Facilitate cross-segment collaboration by aligning legal and operational practices, resulting in the effective roll-out of group-wide decisions.
Legal tasks:
  • Review legal documentation and supervise the set-up of new Luxembourg based structures and administration of all Luxembourg companies
  • Review and provide guidance on draft contracts, agreements and reports prepared internally or by external counsel
  • Assess complex legal and financial transactions, providing clear recommendations and conclusions to support decision making
  • Drive the implementation of legal and operational best practices using technology and standardized procedures
Corporate Governance:· Responsible for all aspects of corporate governance for Luxembourg entities within the Platform including;· Oversight of board meetings (inaugural, quarterly, ad-hoc)· Review and final approval of circular resolutions and meeting minutes· Act as a Manager on the Board of Managers of the relevant entities with final responsibility for governance documentationInvestment and Transaction Oversight:
  • Review legal documentation relating to investments or other significant transactions (external debt facilities, short term financing, organizational restructuring, etc.) prepared internally or by external counsel
  • Coordinate with Carlyle teams in the UK and US to finalize investments or close significant transactions
  • Monitor and manage the status of multiple transactions concurrently, communicating progress clearly to senior stakeholders
Team & Management:
  • Lead and develop the internal legal team (approximately 5 professionals)
  • Support team comprehension of complex transactions and the broader private credit business and fund industry
  • Foster professional growth through coaching, feedback, and active career development
  • Deliver relevant training and insights to both the platform team and wider Carlyle audiences
  • Champion continuous improvement in legal processes, including document management and workflow optimization
QualificationsRequired Qualifications:Legal Expertise
  • Qualified lawyer, admitted in Luxembourg or another EU jurisdiction; CCDL or equivalent Luxembourg legal qualification considered an advantage
  • Excellent knowledge and understanding of Luxembourg corporate law
  • 7-10 years of experience working in financial law including time in a Luxembourg law firm
  • 3-5 years of experience working with Private Credit structures used to facilitate Private Credit investments
  • Advanced understanding of the larger Fund business including experience with closed-ended and open-ended strategies and various Luxembourg Fund regimes
Leadership & Management· Proven ability to lead and mentor a legal team· Experience managing cross-functional teams and coordinating with third-party service providers.· Track record of maintaining team morale, encouraging growth, and fostering collaborationSkills & Competencies:

  • Strong organizational abilities, attention to detail, and structured thinking

  • Fluent in English; French is a plus
  • Proficiency in Microsoft Office Suite (Excel, Word, Adobe, Outlook)
  • Experience with Docify is a plus
