- You will coordinate and manage the incorporation process of new entities, including the preparation and review of corporate documentation, liaising with notaries, banks, and external advisors.
- You will be ensuring the proper legal and administrative maintenance of companies by organizing and drafting board and shareholder resolutions, updating statutory registers, and ensuring compliance with local regulations.
- Handling day-to-day corporate governance matters, including changes to directors, registered offices, share capital variations, and power of attorney documentation will be part of your daily work.
- You will support clients during restructuring operations such as mergers, demergers, liquidations, or re-domiciliation, while coordinating with legal, tax, and accounting teams.
- You will oversee the dissolution process from start to finish, ensuring timely filings, and proper closure in accordance with legal and regulatory requirements.
- To integrate smoothly into the team, you have at least 3 years of experience as a Corporate Officer in a similar environment such as a fiduciary, PFS, or AIFM in Luxembourg.
- Being fluent in English is essential to communicate effectively with clients, colleagues, and third parties.
- To be efficient in your role, you are well-organized and able to meet deadlines consistently.
- A strong understanding of Luxembourg corporate law is important to manage your future portfolio with confidence.
